Terms of Use
These Terms are an agreement between GTM AI Solutions LLC and the person or business using Secure Dialer. By downloading, accessing, purchasing, or using the app or related services, you agree to these Terms.
1. Service and eligibility
Secure Dialer is business communications software that connects to a Twilio account selected by you. It supports calling, messaging, incoming calls, voicemail, device recovery, and diagnostics as made available in the current version. Features may vary by device, plan, country, carrier, Twilio configuration, and release.
You must be at least 18 and legally able to enter a contract. The Services are intended for legitimate business use and are not directed to children. If you use the Services for an organization, you represent that you may bind it.
2. Your Twilio account and costs
You provide and pay for your own Twilio account, telephone numbers, usage, carrier charges, registrations, geographic permissions, and spending controls. You authorize the Services to create and manage the Twilio resources reasonably needed to provide the product using dedicated credentials created during setup.
The supported setup flow sends your Twilio master Auth Token directly from your iPhone to Twilio to create a dedicated revocable key. Do not send the master Auth Token to Provider support. You are responsible for the security and lawful administration of your Twilio account and for reviewing Twilio charges.
Provider is not Twilio or a telecommunications carrier and does not control carrier routing, delivery, number reputation, geographic availability, emergency services, or third-party outages.
3. Limited license and acceptable use
Subject to these Terms and payment of applicable fees, Provider grants you a limited, personal or internal-business, non-exclusive, non-transferable, revocable license to install and use the Services on supported Apple devices you control.
You must follow the then-current Acceptable Use and Communications Compliance Policy. You may not copy, resell, sublicense, reverse engineer, bypass limits or security, extract source code, interfere with the Services, use them to build a competing product, or use them for unlawful, abusive, fraudulent, deceptive, infringing, or unauthorized communications, except where a restriction is prohibited by law.
4. Communications compliance; no emergency calling
You are solely responsible for deciding whether each call or message is lawful and appropriately consented. You must comply with applicable consent, do-not-call, calling-time, caller-identification, recording, telemarketing, automated-communications, messaging-registration, opt-out, privacy, and consumer-protection requirements. Product safeguards supplement but do not replace your compliance program.
Do not use the Services for emergency calling, public-safety dispatch, or as a replacement for telephone service. Maintain another reliable way to contact emergency services. Do not use the Services for automated, predictive, bulk, sequential, prerecorded, artificial-voice, or campaign communications unless Provider expressly approves that functionality in writing and you satisfy all applicable requirements.
5. Accounts, devices, and security
Keep your Apple, Twilio, device, recovery, and product credentials confidential. Use supported software, protect enrolled devices, promptly revoke lost or compromised devices, and notify us of suspected unauthorized access. You are responsible for activity through your account except to the extent caused by Provider's breach of these Terms.
We may impose reasonable usage, device, call, message, and rate limits; require reconnection or credential renewal; and suspend affected access where reasonably necessary to prevent harm, address security or abuse, comply with law or provider requirements, or respond to a material breach.
6. Subscriptions, renewal, and refunds
Price, billing interval, included features, trial terms, renewal, and any usage limits are shown at purchase. An automatically renewing subscription renews for the disclosed period unless canceled through the applicable purchase channel before renewal. Taxes may apply.
If purchased through Apple, Apple processes payment and you manage cancellation through your Apple account. Apple's refund rules and legally required remedies apply to Apple-billed purchases. For purchases directly from Provider, the checkout or order terms control billing and cancellation. Except where law or the purchase channel requires otherwise, fees are non-refundable once the paid period begins.
Deleting the app does not necessarily cancel a subscription or delete Twilio-side data. Use the purchase channel to cancel and the product's secure-disconnect and deletion functions where available.
7. Privacy and data
The Secure Dialer Privacy Notice explains Provider's data practices. You remain responsible for notices, rights, and consents concerning the people you call or message and for your Twilio retention settings.
Do not intentionally use the Services for highly sensitive, regulated-health, payment-card, government-ID, biometric, children's, or similar regulated data unless Provider expressly authorizes that use in writing.
8. Third-party services and App Store
The Services depend on Twilio, Apple, Cloudflare, carriers, and other third parties governed by their own terms. Provider is not responsible for their independent services, charges, policies, suspensions, or outages.
If you obtained the app through Apple's App Store, these Terms are between you and Provider, not Apple. Provider, not Apple, is responsible for the app and its content, support, warranties, and claims to the extent required by law. Apple has no obligation to provide maintenance or support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the App Store-related provisions against you. Your use must comply with the App Store Terms of Service and applicable third-party terms.
9. Ownership and feedback
Provider and its licensors own the Services, software, documentation, designs, brands, and technology. These Terms grant only the limited license in Section 3. You retain rights in information you provide and grant Provider the limited rights needed to operate, secure, support, and improve the Services.
If you provide feedback, you grant Provider a perpetual, irrevocable, worldwide, royalty-free right to use it without identifying you or disclosing your confidential information.
10. Changes, suspension, and termination
We may make reasonable product changes and update these Terms prospectively for law, security, abuse, or product changes. We will provide notice of material changes as required by law. Continued use after the effective date constitutes acceptance where permitted.
You may stop using the Services and cancel renewal through the applicable purchase channel. We may suspend or terminate access for nonpayment, material breach, unlawful or harmful use, security risk, provider requirement, or discontinuation, subject to notice where practicable. Provisions intended by their nature to survive will survive.
11. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. PROVIDER DOES NOT WARRANT THAT CALLS OR MESSAGES WILL CONNECT OR BE DELIVERED, THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE, OR THAT THE SERVICES WILL MEET A PARTICULAR COMPLIANCE REQUIREMENT.
Nothing in these Terms excludes a warranty, remedy, or right that applicable law does not permit the parties to exclude.
12. Indemnity and limitation of liability
To the extent permitted by law, you will defend and indemnify Provider and its personnel from third-party claims arising from your communications or recipients, your data, your Twilio account or configuration, your violation of the Acceptable Use Policy or law, or your unauthorized use of the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, OR DATA. PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID PROVIDER FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.
13. Governing law and general terms
Utah law governs without regard to conflict-of-law rules. State and federal courts in Salt Lake County, Utah have exclusive jurisdiction, except that mandatory consumer law may provide another forum or governing law. Before filing a non-emergency claim, the parties will attempt good-faith resolution for thirty days.
You may not assign these Terms without Provider's consent. Provider may assign them to an affiliate or successor. The Terms, Privacy Notice, Acceptable Use Policy, and applicable purchase terms are the entire agreement for direct use of the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues. Electronic notices and agreements are effective.
